View on StockTwits β$PROP Buy out. PROP is a fairly large oil-and-gas asset base with a messy financing structure sitting in front of the common equity. My probability-weighted view: I wouldnβt count on a $6β$10 takeover. But I think a transaction producing something in the $2β$4+ common-share range is entirely conceivable if Prairie gets the Series F situation under control and the underlying assets perform.

View on StockTwits β$PROP I'm trying to figure out what kind of deal structure is feasible to settle the Preferred Series F and avoid massive warrant dilution. What kind of cash/equity mix do you think Hudson would accept? Assume $78M preferred outstanding. The company is generating roughly $10M FCF quarterly. Assume new CFO gets approval to access $30M from Citibank RBL + $10M FCF = $40M cash. If PROP offered Hudson $40M cash + 30M common shares and 5M penny warrants do you think they'd accept the deal? At current prices this is $70M but Hudson would know the stock will materially increase in value with the dilution overhang is removed. If the stock moves to $1.5/share after the deal announcement, the 30M shares alone would be worth $45M; meaningful upside participation and influence.

View on StockTwits β$PROP in addition to the likely current ratio covenant bust at 6/30, $PROP appears to be navigating a default due to their fraud with respect to selling shares under the ATM in early april. recapping that, see the events in the sub event footnote in their 10Q. they sold shares under an ATM a few days in advance of announcing on 4/9 the deal with hudson bay. after the 4/9 announcement, the stock tanked proving that such event was material and PROP traded with MNPI. before the naysayers jump on and say all is kosher bc it was an ATM - that is not correct. companies trading in their stock (ATM or buyback) must comply with the same laws that insiders must follow with respect to material non public information. this is objectively an illegal act. this is another COVENANT BUST under the credit fac (section 8.08) along with a DEFAULT (section 10.01c, etc). additionally, punishments and damages can be CIVIL AND CRIMINAL in the area of $25M why anyone trusts these guys, i'll never understand.
