$LSTA Exactly as I predicted in my post below. The lawsuit is leverage to get Kuva to complete the offer as is (or reduced). Both sides have confirmed to me via email they are still open to it and currently working on it. I emailed CEO two days ago and just double confirmed that the relationship is not soured because of the lawsuit. Here is his response: " The simple answer is “yes” to the openness to a “fully funded legitimate offer” from Kuva. The filing of the suit is to recoup damages to our shareholders for their breach of contract. It would seem that the simplest way for them to make the suit go away would be to complete the deal they offered. DJM "

Likely has 7m in cash today + NASDAQ shell worth 7-10m. In an RM scenario the likely value would be 3m cash + NASDAQ shell = 10m or 1.10/share FLOOR valuation, giving ZERO value to assets. The math still supports the current PPS imo

Proceed w/ litigation as discussed in previous filing, put pressure on Kuva (who is still actively working on funding) while proceeding w/ a secondary strategic alternative process likely looking for merger candidates. Option A). Kuva returns with FULLY FUNDED tender offer in 2.50-3.50/share range upfront --> LSTA accepts--> Stock pops--> Lawsuit dropped. Option B). Kuva does not return with offer, or returns with sub-par offer that LSTA rejects (i.e. $1/share range). --> Lawsuit proceeds --> LSTA finds RM candidate (5m in net cash + 5-7m in NASDAQ shell value puts deal value at $1.10/share MIN, w/ no value given to legacy assets). CFO is employed through Dec31 2026 so any deal will likely come months before then. Win-win solution either way imo.

Given the 8-K filing submitted today and the statement that $LSTA has already filed a lawsuit against KUVA, this lawsuit could put some pressure on KUVA to resume negotiations - because KUVA knows that if a new agreement isn’t reached, the company faces claims for damages. This increases the pressure to present a viable financing plan. We’ll see...

I know that TA is not always reliable for small cap biotechs, but nevertheless it can be a useful instrument IMO. I'm nibbling at these levels... No advice, you do you.

With 9m in cash, minimal burn, and a NASDAQ shell worth 7-8m, this ticker is worth easily 10-12m in a reverse merger scenario, or ~1.30/share floor valuation. This gives no premium to the merger or any value to any of the pipeline assets.
