The Company is in the process of raising capital to complete the acquisition. The Company views this transaction as a transformational addition to the LifeQuest portfolio, providing immediate revenue, established customer relationships, and a scalable platform for growth in the solid and organic waste management sectors. The environmental services company closed the fiscal year ended December 2025 with unaudited revenue of approximately $3.5 million and EBITDA of approximately $250,000 and recurring revenue of circa $350,000. Management believes these results reflect a stable, cash-generative base from which to execute a clearly defined growth strategy.

If the gas‑station network or Hotel network turns into a multi‑location rollout, that would be the catalyst that pushes the stock into the $0.05–$0.10 range. That is the single most important deal to watch.

The deal in Crete, Greece is 3 times larger (79,000 GALLONS/DAY) than the SPAIN deal ((2,640 GALLONS/DAY). The Crete contract follows LifeQuests recent announcement in Spain, signaling the Company's entry into Western Europe. Together, Spain and Greece represent significant strategic footholds. In addition to Europe, LifeQuest recently secured a decentralized wastewater treatment system contract in Ethiopia to support a European government facility.
