$SPRO 3 weeks until the AGM on June 23. Who is voting yes on Proposal 4 without knowing any details why the company is requesting 120 million additional shares (except for boilerplate language in the proxy)?
Recall: $GSK entered into out-license for non-blockbuster drug Lynavoy with AlfaSigma on Monday, March 9 with Italian pharma AlfaSigma. PDUFA date was March 24 (15 days after deal announced). Deal was $300 million upfront, $100 million on FDA approval, $20 million for European approval, $270 million milestones and royalties on worldwide sales. I believe lynavoy was estimated to be about $500 million peak sales and outside GSK core focus.
On Monday June 1, we will be 17 days from tebi PDUFA date (and 22 days from SPRO AGM).
Next week is the Jeffries Healthcare Conference (Tuesday June 2 is dedicated for private companies, 1x1s, no public presentations; June 3 GSK head of oncology presents)

These board members all get called upon by an executive search firm and usually other board members elect candidates purely on diversity grounds. The reality is unless they find passion in a particular company serving the seat, most of these people take it for extra income and to look good.
Have you ever seen someone sit on the board and become the next elon musk or go on to start another great venture or lead one? Usually their careers are on the tail end of whatever they have to offer.

Then you have the funny berry tree giving funny cash flow guidance and use of cash. Just sounds more like what a subsidiary would do to a fully owned entity. Give back the cash to the sole shareholder. He had to spin it to keep the shareholders who just buy and hold until retirement. Hock wont want shareholders who will take the swap and dump.
Then you have cernuda sitting front and center, i think if bod doesnt agree georgie walks to become ceo of vmware.
On a side note $avgo shareholders who are expecting a stock split too dont get it. When you're using stock to pay for acquisitions you want to keep share count low.

Hoping $NTAP has similar outcome as $GSKY (i.e. a buyout based on unusual flow).
